Loubelle L. Razon-Bagagnan is a member of the Firm’s Special Projects, Banking, Finance & Securities, and Corporate Services departments.

Belle’s practice areas include mergers and acquisitions, financing, competition law, and general corporate services. Her work experience include: due diligence and transactional work on share and asset acquisitions involving Philippine entities; acting as counsel for lenders and borrowers in financing transactions, including project financing and bilateral loan transactions; merger notification filings with the Philippine Competition Commission; and registration of companies and dealings with the Philippine Economic Zone Authority. She regularly advises clients on foreign investments and doing business regulations.

Belle provides corporate secretarial services and handles incorporation and post-incorporation work for domestic and foreign corporations with representative and branch offices in the Philippines. She also regularly advises clients on general regulatory requirements and handles general contract drafting and review for clients. She acts as Corporate Secretary or Assistant Corporate Secretary for various corporate clients of the firm.

Belle’s recent work include acting for the lenders in project finance transactions involving infrastructure projects, tower assets acquisition, and land reclamation projects in the Philippines. She has done due diligence and preparation of transaction documents involving: acquisition of a foreign entity of a stake in a rural bank; acquisition of parcels of land; and asset and share sale of various companies.
