Javierose M. Ramirez is a member of the firm's Banking, Finance and Securities, and Special Projects departments. Her practice areas include mergers, acquisitions, banking, financing, securities, technology transfer, and franchising.

Ms. Ramirez does mergers, acquisitions, and divestments involving companies across various industries, such as business process outsourcing, construction, energy and power, healthcare, logistics, financial technology, and manufacturing. She conducts due diligence; negotiates, drafts, and reviews transaction documents; and renders legal advice on the transactions.

Ms. Ramirez works with both lenders and borrowers in local and cross-border loan transactions, including acquisition financing, project financing, and commercial lending. She has worked with local lenders in the negotiation, due diligence, and drafting of transaction documents in extending financing to local borrowers involved in various industries such as power, transportation, aviation, and renewable energy. She has also worked with foreign lenders on loan transactions with local borrowers and security agreements involving Philippine assets. Ms. Ramirez also assists foreign banks in extending financing to Philippine banks and their offshore units and ensuring compliance of the transaction with Philippine laws.

Ms. Ramirez has significant experience in aviation projects and regularly assists clients in aircraft and engine leasing, aircraft financing and refinancing, and regulatory compliance. She handles the Philippine aspect of global aviation transactions involving Philippine-registered aircraft.

Ms. Ramirez also assists clients in the registration of securities with the Securities and Exchange Commission and the listing of securities with The Philippine Stock Exchange, Inc.

Ms. Ramirez has been involved in franchising and distribution. She reviews licensing and distribution agreements for global brands and assists clients in the highly regulated area of technology transfer arrangements.
